I joined Ferriter Scobbo in October 2018 as Of Counsel because my background and experience provides an excellent opportunity to assist the Firm’s clients in the Boardroom, Courtroom and Statehouse.

I bring to the Firm the best practices learned from two decades of in-house counsel experience with public companies in the energy and oil & gas business.  I have hands-on engineering and construction management experience on nuclear and fossil power plants, as well as retrofit and life extension of operating power plants.  That practical experience will benefit the Firm’s clients.

In the Boardroom

My intimate knowledge of the needs of corporate executive management gained through serving as Vice President and Assistant General Counsel to Stone & Webster (and its successors The Shaw Group and Chicago Bridge & Iron), enables me to provide legal advice to our clients in the Boardroom. This includes legal counseling on structure and implementation of corporate compliance programs, risk review processes on transactional matters, proper international business conduct, best dispute resolution recourse, project finance, mergers & acquisitions, and other Boardroom governance issues.

In advising our clients in the Boardroom on transactional matters, I bring to bear my experience in negotiating a multitude of complex US and International contracts for engineering, procurement and construction of mega size projects. Those projects included: nuclear, coal, and natural gas power projects, as well as renewable energy projects including geothermal, solar, wind, biomass and waste. My transactional experience extends to contracts for oil & gas projects including petrochemical complexes, refineries, LNG facilities, as well as licensing of proprietary technology. For example, my approach in serving our clients on construction projects is to stay engaged throughout project execution to pre-empt disputes and propose work-arounds in the interest of project success.  

My expertise also extends to advising the Firm’s clients on how best to structure non-recourse Project Finance transactions that tap into equity and loan funding as well as financing available through export credit agencies such as US EXIM and UK ECGD and governmental support through USAID and USTDA.

The Firm’s clients can rely on my experience in establishing corporate Compliance Programs particularly in the conduct of international business to ensure proper compliance with the US Foreign Corrupt Practices Act and the UK anti-bribery laws, sanctions and anti-boycott laws, as well as the US Export Regulations and the Code of Federal Regulations Part 810 governing the export of nuclear-related technology.

The Firm’s clients will benefit from my experience with the acquisition of start-up companies and merger of public companies, where the upfront establishment of a robust due diligence and full disclosure process can pre-empt subsequent disputes.

In the Courtroom – Alternative Dispute Resolution

My Boardroom experience will inform the Firm’s advice in the Courtroom. I have structured various teaming arrangements, joint ventures, consortia, and joint project development agreements for US and international projects in ways that mitigates risk and liability in order to keep clients out of the Courtroom.

I assist the Firm’s clients in resolving disputes without resort to litigation. My training and experience as a panelist with the American Arbitration Association® (“AAA”) enables me to provide our clients the skills to resolve disputes efficiently, which clients find very cost effective in getting claims and associated financial reserves speedily off the company books.  AAA is the leading provider of alternative dispute resolution services, and its qualification requirements include my ability to evaluate and apply legal, business and trade principles, thorough and impartial evaluation of testimony and other evidence, and being held in the highest regard by my peers for integrity, fairness and good judgment.   A less litigious view of how to assist the Firm’s clients in resolving disputes without resorting to court action is my goal.  See me on the AAA video at: www.tiny.cc/Richard-ArbitrationVIDEO.

In the Statehouse

I am able to use my background and experience in the energy and oil & gas industry to contribute to an understanding of pending or proposed legislation at the Statehouse that may affect the interests of the Firm’s government relations clients. Moreover, this experience will lend itself to crafting legislation needed to assist our clients achieve their goals.
